Terms of Service

These Terms of Service constitute a legally binding agreement between you and Cathcart Group, operator of Atlas (“Atlas,” “Cathcart Group,” “we,” “us,” or “our”).

Atlas is a family information-management and communication service that helps individuals and households organize, protect, manage, and share family information.

These Terms govern your access to and use of the Atlas website, web application, progressive web application, communications, artificial-intelligence features, and related products and services collectively referred to as the “Services.”

By creating an account, starting a trial, purchasing a subscription, accepting a household invitation, or otherwise using the Services, you agree to these Terms and acknowledge the Atlas Privacy Policy.

If you do not agree to these Terms, do not create an account or use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to create an Atlas account or purchase a subscription.

Atlas is currently offered only to users located in the United States.

By using Atlas, you represent that:

  • You are at least 18 years old.
  • You are legally permitted to enter into this agreement.
  • The information you provide is accurate.
  • You will use Atlas only in compliance with applicable law.
  • You are authorized to provide any information you enter about another person.
  • You are not prohibited from using the Services under applicable law.

A parent, legal guardian, caregiver, or other authorized adult may create and manage profiles for children, dependents, older adults, family members, pets, or other household members.

A profile does not necessarily constitute an independent Atlas account.

2. Atlas Is an Organizational Service

Atlas provides tools that allow users to organize and manage information such as:

  • Household profiles
  • Calendars and appointments
  • Tasks and reminders
  • Shopping and household lists
  • Documents and records
  • Home inventory
  • Subscriptions and recurring payments
  • Password and credential records
  • Household communications (when available)
  • Medical and caregiving information
  • Pet and veterinary records
  • Notifications
  • Emergency or recovery access
  • AI-assisted organization and data entry

Atlas is an information-management tool. It is not a replacement for professional, governmental, financial, legal, medical, emergency, insurance, tax, or caregiving services.

3. Account Registration

You must provide accurate and current information when creating an account.

You agree to update your information when necessary and not to:

  • Impersonate another person
  • Create an account using false information
  • Create an account for someone without authorization
  • Transfer or sell your account
  • Allow an unauthorized person to use your credentials
  • Use another person’s account without permission

We may require email verification, multifactor authentication, identity confirmation, or other security measures before granting access to certain features.

4. Account Security

You are responsible for protecting your Atlas account and authentication methods, including:

  • Passwords
  • Passkeys
  • Two-factor authentication codes
  • Recovery codes
  • Email account access
  • Authorized devices
  • Emergency-access settings

You are responsible for activity performed through your account unless the activity results directly from Atlas’s failure to use reasonable security measures.

You must promptly notify Atlas if you become aware of:

  • Unauthorized account access
  • A lost or compromised device
  • A compromised password or passkey
  • An unauthorized household member
  • Suspicious activity
  • Misuse of emergency-access features

Atlas will never ask you to provide a complete stored password, authentication code, master password, or recovery code through an unsolicited email, text message, or telephone call.

5. Household Accounts and Roles

Atlas may allow an account owner to establish a household and invite other people to participate.

The account owner may be able to:

  • Invite or remove household members
  • Create and manage profiles
  • Assign household roles
  • Set visibility and sharing permissions
  • Manage subscriptions
  • Control emergency-access settings
  • Delete household information
  • Close the household account

Other household members may have different access depending on their assigned role and the permissions selected by the account owner or content creator.

The account owner is responsible for:

  • Choosing appropriate household members
  • Assigning appropriate permissions
  • Reviewing shared information
  • Removing members who should no longer have access
  • Ensuring that household use complies with these Terms
  • Obtaining any authorization needed to store information about another person

Atlas is not responsible for access that results from permissions intentionally granted by an account owner or authorized user.

6. Profiles for Children and Dependents

Atlas is intended for use by adults and is not directed to children under 13.

An authorized adult may create a managed profile for a child or dependent. Creating such a profile does not necessarily give that person independent login access.

The adult managing the profile is responsible for:

  • Determining what information is appropriate to store
  • Having legal authority to provide the information
  • Controlling access to the profile
  • Reviewing household-sharing permissions
  • Correcting or deleting information when appropriate

A child under 13 may not independently create an Atlas account.

7. Your Content

“Your Content” means information, text, files, photographs, documents, messages, records, voice transcriptions, profile information, and other material that you or an authorized household member submits, uploads, stores, creates, or shares through Atlas.

As between you and Atlas, you retain ownership of Your Content.

You grant Atlas a limited, nonexclusive license to host, store, copy, transmit, process, organize, format, display, back up, and otherwise handle Your Content only as reasonably necessary to:

  • Provide the Services
  • Carry out your instructions
  • Enable authorized household sharing
  • Protect and secure the Services
  • Diagnose technical problems
  • Comply with applicable law
  • Enforce these Terms

This license ends when Your Content is deleted from active Atlas systems, subject to reasonable backup retention, security records, and legal obligations.

Atlas does not acquire ownership of Your Content.

8. Your Responsibilities for Content

You represent that you have all rights and permissions necessary to enter, upload, store, process, or share Your Content.

You may not use Atlas to store or distribute content that:

  • Violates applicable law
  • Infringes intellectual-property rights
  • Invades another person’s privacy
  • Was obtained without authorization
  • Is fraudulent or intentionally deceptive
  • Contains malicious software
  • Facilitates abuse, stalking, exploitation, or harassment
  • Promotes violence or illegal activity
  • Contains illegal sexual content
  • Exploits or endangers a child
  • Is used to compromise another person’s accounts
  • Interferes with the operation or security of Atlas

Atlas is not responsible for evaluating the legality, accuracy, ownership, or appropriateness of every item users place in their private household accounts.

9. Private Household Information

Atlas is designed to prevent employees from accessing personal and sensitive Household Content.

Sensitive information and documents are encrypted at the database level and while stored at rest. Information is also protected in transit using industry-standard encrypted connections.

Atlas employees do not have application-level access to personal or sensitive Household Content.

Atlas employees do not have access to ordinary Household Content outside the limited household and profile information required to render, administer, secure, and support the Services.

Limited administrative information may include:

  • Account names
  • Email addresses
  • Household names
  • Profile names
  • Profile photographs or avatars
  • Household memberships
  • Account roles and permissions
  • Subscription status
  • Security events
  • Audit information
  • Technical diagnostic information

Additional details concerning information handling and security are described in the Atlas Privacy Policy.

10. Customer Support

Atlas support personnel cannot directly open or inspect personal or sensitive Household Content through ordinary support tools.

To obtain support, you may need to voluntarily provide:

  • A description of the issue
  • Screenshots
  • Error messages
  • Browser or device information
  • Relevant account information
  • A copy of information needed to reproduce the issue

Do not send passwords, authentication codes, recovery codes, or other credentials to Atlas support.

Information voluntarily supplied to support will be used to investigate and respond to the issue.

11. Artificial Intelligence Features

Atlas may provide AI-assisted or automated features, including:

  • Quick Add
  • Ask Atlas
  • Voice-to-text processing
  • Document categorization
  • Optical character recognition
  • Image analysis
  • Suggested form entries
  • Calendar-event creation
  • Reminder and task creation
  • List creation
  • Summaries
  • Household communication assistance

When you use these features, Atlas may process the information you submit to interpret your request and provide a result.

We do not use private Household Content to train publicly available, shared, or general-purpose artificial-intelligence models.

AI-generated or automatically extracted information may be incomplete, inaccurate, outdated, or incorrectly categorized.

You are responsible for reviewing and approving AI-generated information before relying on it.

You should pay particular attention to:

  • Dates and times
  • Addresses
  • Names
  • Payment amounts
  • Medication information
  • Medical appointments
  • Financial information
  • Legal deadlines
  • Emergency instructions
  • Reminder settings
  • Household recipients

Atlas does not guarantee that an AI feature will correctly understand, classify, extract, summarize, create, schedule, or communicate information.

12. No Professional Advice

Atlas and its AI features do not provide:

  • Medical advice
  • Legal advice
  • Financial advice
  • Tax advice
  • Insurance advice
  • Mental-health treatment
  • Emergency services
  • Professional caregiving advice

Information produced or organized through Atlas is for general organizational purposes only.

You should consult a qualified professional before making decisions involving health, medications, legal rights, finances, taxes, insurance, or safety.

13. No Emergency Services

Atlas is not an emergency-response service.

Do not rely on Atlas, its reminders, notifications, communications, AI features, or emergency-access features to contact:

  • 911
  • Police
  • Fire departments
  • Emergency medical services
  • Poison control
  • Crisis services
  • Healthcare providers
  • Other emergency responders

In an emergency, contact the appropriate emergency service directly.

Atlas does not guarantee the delivery, timing, receipt, or acknowledgment of any notification or message.

14. Reminders and Notifications

Atlas may provide email, browser, device, in-application, or push notifications.

Notifications may be delayed, blocked, duplicated, misdirected, or not delivered because of:

  • Device settings
  • Browser settings
  • Network problems
  • Email filtering
  • Notification permissions
  • Third-party service failures
  • Incorrect user information
  • Service interruptions
  • Time-zone settings
  • Device power-saving features

You remain responsible for independently tracking important appointments, payments, medication schedules, deadlines, renewals, and obligations.

15. Household Communications

Atlas may, now or in the future, allow users to send messages, requests, or similar communications to household members through the Services.

When such features are available, you are responsible for selecting the correct recipients and reviewing the message before sending it.

Atlas does not guarantee that:

  • A recipient will receive a message
  • A recipient will read or understand it
  • A requested task will be completed
  • An AI system will correctly determine completion
  • A notification will arrive at a particular time

Atlas may record delivery, acknowledgment, completion, or other status information when supported by the feature.

16. Password Keeper

Atlas may provide tools for storing account credentials and related records.

Password Keeper information is highly sensitive. You are responsible for:

  • Protecting your Atlas account
  • Enabling available authentication protections
  • Selecting appropriate sharing permissions
  • Reviewing emergency-access permissions
  • Removing access for former household members
  • Maintaining independent recovery methods where appropriate

Atlas does not guarantee that a third-party website, application, password, or account will remain available or function correctly.

You may not use Password Keeper to store credentials you are not authorized to possess or use.

17. Emergency and Recovery Access

Atlas may allow an account owner to designate an eligible person to request emergency or recovery access.

Available controls may include:

  • Designating an emergency-access recipient
  • Selecting a waiting period
  • Defining the information available
  • Approving or denying a request
  • Revoking access
  • Reviewing audit records

You are solely responsible for selecting a trustworthy recipient and keeping your settings current.

Atlas is not responsible for actions taken by a recipient who receives access according to permissions you established.

Security reviews, waiting periods, authentication requirements, technical failures, or legal restrictions may delay or prevent emergency access.

Emergency-access features are not a substitute for a will, trust, power of attorney, advance directive, estate plan, business-continuity plan, or professional fiduciary service.

18. Pet Information

Atlas may allow users to store information about pets, including veterinary records, medications, vaccinations, appointments, and emergency contacts.

Atlas does not provide veterinary advice and is not a substitute for a licensed veterinarian or animal emergency service.

19. Subscriptions and Paid Plans

Some Atlas features require a paid subscription.

Available plans, prices, profile limits, household limits, features, and billing periods will be presented before purchase.

By purchasing a subscription, you authorize Atlas and its payment processor to charge the displayed price, applicable taxes, and any clearly disclosed fees to your selected payment method.

Subscriptions may be offered on a:

  • Monthly basis
  • Annual basis
  • Promotional basis
  • Complimentary basis
  • Fixed-duration basis

Except where otherwise stated, paid subscriptions automatically renew until canceled.

20. Free Trials

Atlas may offer a free trial. The current self-serve trial is 30 days on the plan you select at signup (Personal, Family, or Family+). The length and conditions of the trial will be disclosed when you enroll.

Unless the enrollment screen expressly states otherwise:

  • A payment method is not required to begin the self-serve free trial.
  • You will not be charged a subscription fee during the free-trial period.
  • The trial does not automatically convert into a paid subscription when it ends.
  • If you want continued paid access after the trial, you must choose a plan and complete checkout (currently hosted by Stripe) or redeem authorized complimentary or promotional access.

You are responsible for subscribing or redeeming access before trial benefits end if you want uninterrupted writable access. After a trial or paid period ends without active entitlement, the household may enter a limited read-only state and later be scheduled for deletion as described in the Services and Privacy Policy.

Atlas may limit trial eligibility and may refuse repeated or abusive trial registrations.

21. Promotional and Complimentary Access

Atlas may issue promotional codes, invitation codes, discounts, credits, or complimentary access.

Promotional access may apply for a stated period, including:

  • Six months
  • One year
  • Another fixed period
  • Indefinite complimentary access

Promotional access:

  • Has no cash value
  • May not be sold or transferred
  • May be limited to one household or account
  • May be revoked if obtained through fraud or misuse
  • May expire according to its stated terms
  • May apply only to selected plans or features

“Lifetime,” “unlimited,” or “indefinite” promotional access, when offered, means access for as long as Atlas continues to offer the applicable Service or plan. It does not guarantee that Atlas or a particular feature will exist permanently.

22. Automatic Renewal

Unless expressly stated otherwise during purchase, paid subscriptions automatically renew for successive periods equal to the original billing period.

Before completing a purchase, Atlas or its payment provider will disclose:

  • The subscription price
  • The billing frequency
  • Whether the subscription automatically renews
  • The length of any applicable paid period
  • When paid billing begins
  • How to cancel

By completing the purchase, you expressly authorize recurring charges until cancellation.

We may send renewal or billing notices when required by law or when reasonably appropriate, but your subscription may renew even if you do not open or receive a reminder.

23. Cancellation

You may cancel a paid subscription by contacting Atlas support at the contact information below, or through in-application billing or account settings when those cancellation controls are made available.

Cancellation stops future renewals.

Unless otherwise required by law or stated at purchase:

  • Cancellation does not retroactively refund prior charges.
  • You may continue using paid features through the end of the current paid billing period.
  • Your account may be placed into a limited read-only state when the paid period ends if no other active entitlement applies.
  • Information may later become subject to scheduled deletion after reasonable notice as described in the Services.

Deleting the Atlas application from a device does not cancel a subscription.

Removing a payment method does not by itself cancel a subscription or erase amounts already owed.

24. Refunds

Except where required by law or expressly provided in a written refund policy, subscription charges are nonrefundable.

Atlas generally does not provide refunds or credits for:

  • Partially used billing periods
  • Unused accounts
  • Failure to cancel before renewal
  • Unused trial periods
  • Removed household members
  • Unused profiles
  • Changes in household circumstances

Atlas may issue a refund or credit at its discretion. Providing a refund in one instance does not create an obligation to provide similar refunds later.

25. Failed Payments

If a payment fails, Atlas may:

  • Retry the payment
  • Ask you to update your payment method
  • Restrict paid features
  • Place the household in a limited read-only state
  • Suspend the account
  • Terminate the subscription

You remain responsible for authorized charges incurred before cancellation or termination.

26. Price and Plan Changes

Atlas may change subscription prices, plan names, storage limits, profile limits, features, or billing structures.

Price increases for an existing subscription will take effect no earlier than the next renewal following any notice required by law.

You may cancel before a new price becomes effective.

Atlas may add, remove, modify, or discontinue features, provided that we comply with applicable law and any specific commitments made for an already-paid billing period.

27. Taxes

Subscription prices may not include applicable sales, use, transaction, or similar taxes.

You authorize Atlas or its payment provider to collect taxes when required.

You are responsible for taxes that Atlas is not legally required to collect.

28. Payment Processing

Payments may be processed by Stripe or another payment provider. Paid checkout may be completed on a hosted payment page operated by the payment provider.

Your payment-provider relationship may also be governed by that provider’s terms and privacy policy.

Atlas does not ordinarily receive or store your complete payment-card number or card-security code.

Atlas is not responsible for payment-provider outages, declined transactions, account restrictions, or other issues controlled by the payment provider.

29. End of Paid or Trial Access

If a trial ends or a subscription expires or is canceled without another active entitlement (such as a promotional or complimentary grant), Atlas may place the household in a limited read-only state.

In a read-only state, you may be able to view certain information but may lose the ability to create or edit content, use certain features, or invite new members, as described in the Services at the time.

Atlas may schedule deletion of household data after a retention period following the start of read-only access. The Services may display the applicable schedule. You are responsible for exporting information you wish to keep before deletion.

A loss of paid access may also result in:

  • Reduced or disabled writable features
  • Disabled sharing or invitation features
  • Disabled AI processing
  • Restricted access to certain records
  • Loss of notification features

30. Data Export and Account Deletion

Where supported, Atlas may allow an account owner to export certain household information.

You are responsible for downloading information you wish to retain before deleting an account.

An account owner may request deletion through the application or by contacting Atlas.

Account deletion may permanently remove household profiles and content after applicable retention periods.

Certain information may remain temporarily in:

  • Encrypted backups
  • Security logs
  • Fraud-prevention records
  • Payment records
  • Tax and accounting records
  • Records required by law

Deleting an account does not automatically entitle you to a refund.

31. Acceptable Use

You agree not to:

  • Violate any law or regulation
  • Use Atlas for fraudulent or deceptive purposes
  • Access another user’s account without authorization
  • Attempt to bypass security protections
  • Probe, scan, or test system vulnerabilities without written authorization
  • Reverse engineer the Services except where legally permitted
  • Interfere with Atlas systems or networks
  • Introduce malware or malicious code
  • Conduct automated scraping
  • Use bots to create accounts or generate abusive traffic
  • Circumvent subscription, profile, or storage limits
  • Use Atlas to stalk, threaten, exploit, or harass another person
  • Upload illegal content
  • Misrepresent your identity
  • Resell or commercially sublicense consumer access to Atlas
  • Use the Services to develop a competing service through unauthorized extraction
  • Use Atlas infrastructure for cryptocurrency mining or excessive computing
  • Attempt to obtain information that Atlas employees are not authorized to access

We may investigate suspected violations and restrict or terminate access when reasonably necessary.

32. Service Availability

We work to keep Atlas available, but we do not guarantee uninterrupted or error-free service.

Atlas may be unavailable because of:

  • Maintenance
  • Updates
  • Security events
  • Hosting outages
  • Network problems
  • Third-party failures
  • Equipment failures
  • Natural disasters
  • Government actions
  • Cyberattacks
  • Circumstances outside our reasonable control

Atlas may perform maintenance without advance notice when necessary to protect security or reliability.

33. Beta and Experimental Features

Atlas may identify certain features as beta, preview, early access, experimental, or testing features.

Such features may:

  • Contain errors
  • Change without notice
  • Be unavailable at times
  • Produce incomplete results
  • Be discontinued
  • Have additional limitations

You use beta and experimental features at your own risk.

34. Changes to the Services

Atlas may improve, modify, replace, suspend, or discontinue features.

We will use reasonable efforts to provide notice when a material change is likely to significantly affect paid users.

Nothing in these Terms guarantees that a particular feature, integration, model, provider, design, price, or plan will remain available indefinitely.

35. Atlas Intellectual Property

Atlas and its licensors own all rights in the Services other than Your Content, including:

  • Software
  • Source code
  • Object code
  • Designs
  • Interfaces
  • Graphics
  • Logos
  • Trademarks
  • Service names
  • Documentation
  • Databases
  • Workflows
  • Templates
  • Compilations
  • Original written materials

Subject to these Terms, Atlas grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to use the Services for personal and household purposes.

No other rights are granted.

36. Feedback

You may provide ideas, suggestions, or feedback about Atlas.

You grant Atlas permission to use feedback without restriction or compensation, provided that we do not publicly identify you as the source without permission.

This provision does not transfer ownership of Your Content to Atlas.

37. Third-Party Services

Atlas may use or connect with third-party providers, websites, applications, payment processors, email services, notification systems, hosting providers, AI providers, or external links.

Atlas does not control independent third-party services and is not responsible for:

  • Their availability
  • Their content
  • Their security
  • Their privacy practices
  • Their terms
  • Their actions or omissions

Your use of a third-party service may be governed by separate terms.

38. Suspension and Termination by Atlas

Atlas may suspend, restrict, or terminate access if we reasonably believe:

  • You violated these Terms.
  • Your account presents a security risk.
  • Your use may harm Atlas or another person.
  • Your payment is overdue.
  • Your use is fraudulent or unlawful.
  • Suspension is required by law.
  • Continued service is technically impractical.
  • You are abusing trials, promotions, or complimentary access.

When reasonably possible, Atlas may provide notice and an opportunity to correct the issue.

Immediate action may be taken when necessary to prevent harm, fraud, unauthorized access, or legal exposure.

39. Termination by You

You may stop using Atlas at any time.

You may cancel your subscription and request account deletion as described in these Terms.

Provisions that by their nature should survive termination will remain effective, including provisions concerning:

  • Ownership
  • Payment obligations
  • Disclaimers
  • Limitations of liability
  • Indemnification
  • Dispute resolution
  • Governing law

40. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATLAS IS PROVIDED “AS IS” AND “AS AVAILABLE.”

CATHCART GROUP DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE
  • NON-INFRINGEMENT
  • ACCURACY
  • AVAILABILITY
  • SECURITY
  • QUIET ENJOYMENT

We do not warrant that:

  • The Services will always be available.
  • The Services will be error-free.
  • Every notification will be delivered.
  • AI-generated information will be accurate.
  • Data extraction will be complete.
  • Information will never be lost.
  • Every security threat can be prevented.
  • Third-party services will function correctly.
  • Atlas will meet every personal or household requirement.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent legally permitted.

41. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATHCART GROUP AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES LOSS OF:

  • DATA
  • PROFITS
  • REVENUE
  • BUSINESS
  • GOODWILL
  • OPPORTUNITY
  • USE
  • HOUSEHOLD INFORMATION

IT ALSO INCLUDES DAMAGES ARISING FROM:

  • MISSED APPOINTMENTS
  • MISSED PAYMENTS
  • MISSED MEDICATIONS
  • FAILED NOTIFICATIONS
  • INCORRECT AI RESULTS
  • UNAUTHORIZED HOUSEHOLD SHARING
  • THIRD-PARTY SERVICES
  • ACCOUNT COMPROMISE CAUSED BY USER CREDENTIALS
  • SERVICE INTERRUPTIONS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CATHCART GROUP FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO ATLAS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS.

These limitations apply regardless of the legal theory and even if Atlas was advised that damages were possible.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, these limitations apply only to the extent permitted by law.

42. Essential Rights

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Nothing in these Terms waives nonwaivable consumer rights.

43. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Cathcart Group and its owners, officers, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable legal expenses arising from:

  • Your unlawful use of Atlas
  • Your violation of these Terms
  • Your infringement of another person’s rights
  • Content you submit without authorization
  • Your misuse of another person’s information
  • Your household permissions or invitations
  • Your fraudulent or malicious conduct

This obligation does not apply to claims resulting from Cathcart Group’s own unlawful conduct or gross negligence where such exclusion is prohibited.

44. Informal Dispute Resolution

Before filing a lawsuit relating to these Terms or the Services, you and Atlas agree to make a good-faith effort to resolve the dispute informally.

You must send a written notice describing:

  • Your name

Atlas will send dispute notices to the email address associated with your account.

The parties will have 30 days after receipt of the notice to attempt an informal resolution.

Either party may seek immediate relief for account compromise, intellectual-property misuse, unlawful access, or another urgent security concern without completing this informal process first.

45. Governing Law

These Terms and disputes arising from them are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

46. Venue

Unless applicable law requires otherwise, any legal proceeding relating to these Terms or the Services must be brought in the state or federal courts located in Shelby County, Tennessee.

You and Cathcart Group consent to the personal jurisdiction of those courts.

This section does not prevent a consumer from bringing a claim in another location when applicable consumer law gives the consumer a nonwaivable right to do so.

47. No Mandatory Arbitration in This Draft

These Terms do not currently require individual arbitration or waive the right to participate in a class action.

Cathcart Group may add a dispute-resolution or arbitration provision in a future version only after providing legally appropriate notice.

48. Electronic Communications

You consent to receive agreements, notices, disclosures, receipts, security alerts, subscription information, and other communications electronically.

Electronic communications may be delivered through:

  • Email
  • The Atlas application
  • Website notices
  • Device notifications

You agree that electronic communications satisfy legal requirements that communications be in writing, to the extent permitted by law.

You are responsible for maintaining a current email address and the ability to access electronic communications.

49. Changes to These Terms

Atlas may update these Terms to reflect changes in:

  • Features
  • Technology
  • Security practices
  • Subscription plans
  • Vendors
  • Business operations
  • Applicable law

We will update the “Last Updated” date when changes are made.

For material changes, we may provide additional notice through email, the application, or the Atlas website.

When legally required, we will request your affirmative agreement to updated Terms.

Your continued use after updated Terms take effect constitutes acceptance to the extent permitted by law.

If you do not agree to updated Terms, you must discontinue use and cancel your subscription.

50. Assignment

You may not assign or transfer these Terms or your account without written permission from Cathcart Group.

Cathcart Group may assign these Terms as part of a merger, acquisition, financing, corporate reorganization, asset sale, or transfer of the Atlas business.

51. Severability

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent legally permitted or modified only as necessary to make it enforceable.

The remaining provisions will continue in effect.

52. No Waiver

Failure by Atlas to enforce a provision does not waive the right to enforce it later.

A waiver is effective only when provided in writing by an authorized representative of Cathcart Group.

53. Entire Agreement

These Terms, the Atlas Privacy Policy, any plan-specific terms shown at purchase, and any other policies expressly incorporated by reference form the entire agreement between you and Cathcart Group concerning the Services.

They replace prior oral or written understandings concerning the same subject.

If plan-specific terms conflict with these Terms, the plan-specific terms control only for the particular subscription or promotion to which they apply.
